New Churches

THIS AGREEMENT GOVERNS THE TERMS ON WHICH YOU MAY USE Converge! AND ITS COMPONENTS. IT IS A LEGAL AGREEMENT.

Software License Agreement Terms
This agreement is a legal agreement between you (either as an individual or a single entity, "you") and Church Planting Solutions (CPS) relating to your rights to use Converge! (referred to as ‘this software' in the remainder of this document) and its components. By using this software, you agree to be bound by the terms of this agreement.

Use Restrictions
CPS grants you the right to use this software for 1 year from the time of purchase.

The user is bound by the following usage restrictions:

• The user agrees to use the software and its content in conjunction with one church plant project. Additional licenses must be purchased for additional church plant projects.
• The user may elect to allow other individuals access to their system, however in accordance with the above; those individuals must be associated with, and using it to support, the church plant project for which the software was purchased.
• This license agreement is not transferable or assignable to another church plant project.
• The user may not modify, reverse engineer, duplicate content, lease, or rent the software.

Acceptance of the Software
User accepts delivery of this software when they have successfully logged in. It is the user's responsibility to contact CPS immediately if there is any question about their access to the system. No refunds are available.

Maintenance of the Software
As an on-line application new features and enhancements are always being considered and when appropriate, added to the system. CPS makes no specific guarantees regarding implementation of future features or content.

Customization of the Software
No customization of this application or its content is included in this agreement. If you or your organization would like to discuss customizing the software or its content for your church plant project or organization, please contact CPS at 866.342.5264.

Ownership of the Software
CPS retains all ownership of this software and content which is included. Content may not be reproduced or distributed in any manner without express written consent of CPS.

This agreement does not operate to transfer any ownership or intellectual property rights in this software to you other than the limited license to use this software. By accepting this agreement you agree not to attempt to reverse engineer, decompile, translate, adapt, or disassemble any part of this software or to incorporate this software (or any part of it) in any other product or service.

Access to the Software
CPS performs routine backups of the databases. Should an extended outage of our servers occur, you will be provided an alternate domain to access your database. It is the user's responsibility to contact CPS if they are unable to access the system.

Limitation of Liability
THIS SECTION LIMITS YOUR RIGHT TO SEEK COMPENSATION FOR DAMAGE RESULTING FROM THE USE OF THIS SOFTWARE. BY ACCEPTING THIS AGREEMENT YOU CONFIRM THAT YOU AGREE THAT THE LIMITATIONS IN THIS SECTION SHOULD FOR ALL PURPOSES BE DEEMED TO BE REASONABLE HAVING REGARD TO THE PRICE PAID FOR THIS SOFTWARE AND THE ADVICE GIVEN BELOW.

CPS has made reasonable efforts to ensure that this software is stable and integrates with standard browser and internet connections, however because of the variety of browsers and plug-ins, no warranty of fitness for a particular purpose is offered out and, to the extent permitted by law, all implied warranties as to fitness are excluded. CPS has made every effort to ensure that this software and our servers are virus free, however due to the nature of web-based applications; we recommend that you deploy up-to-date virus protection software. The user assumes the entire risk using this software (or any part of it). To the extent permitted by law, the user's exclusive remedy is limited to refund of purchase price. Users of this software agree to use the software on an "as is" basis, with support from CPS not to exceed the support outlined in this agreement.

Additionally, CPS makes no specific guarantee of and is not liable for the results of implementing any content included in the system. Users are cautioned not to rely on the content of the system as legal advice as the content is no substitution for a consultation with an attorney in your state. Based on jurisdiction and time, the law varies and changes.

CPS assumes no liability to cover damages incurred by the user in any way.

Support Services
The agreement entitles your project to three (3) customer support calls during the duration of your project. These calls may be on the operation of this software or on the content of the software.

Duration of Agreement
The duration of this agreement shall be 12 months from the time this agreement is signed. If you require use of your system for a longer period of time, please contact CPS to purchase an extension. Extensions will be handled on a case by case basis however the following guidelines will apply:

• Extensions of less than 3 months will generally be at no cost
• Extensions of 3-12 months will generally cost $50.
